Equity Transaction Advisory

This course provides a comprehensive introduction to equity transaction advisory, emphasizing practical legal skills. It covers the purpose and management of legal due diligence, effective coordination of the due diligence process, negotiation of representations and warranties, and the roles of conditions precedent and subsequent in transaction structuring. Participants will also learn to manage CP and CS processes and to draft and review disclosure letters, including their purpose, content, and limitations within equity deals.
