HumanAidoc Startup Legal Foundation Bundle

This professional legal service is designed for HumanAidoc, an Accra-based clinical intelligence technology startup currently at live-product, pre-seed stage.

The engagement covers the initial legal foundation required to strengthen the company’s ownership, governance, intellectual-property position and clinical-risk framework as it prepares for growth and future investment.

The bundle includes:

• Preparation of a comprehensive Shareholders Agreement for the two-founder structure, addressing ownership, governance, decision-making, founder protection, transfer restrictions, vesting/readiness considerations and future investor admission.

• Preparation of appropriate Intellectual Property Assignment documentation to establish clear ownership of the technology, software, product and relevant startup intellectual property.

• Clinical liability, disclaimer and scope-of-use structuring appropriate to HumanAidoc’s clinical-intelligence model, including appropriate language around clinical support, user reliance and professional medical judgment.

• An initial founder and investor-readiness review, including consideration of IP chain of title and regulatory-documentation readiness.

Professional Fee: US$350

This is a specially agreed startup-stage bundled professional fee.

Regulatory applications, government filing fees, representation before regulatory authorities, third-party professional fees and legal work outside the scope stated above are not included unless separately agreed in writing.
