BASIC LEASE LICENSE AGREEMENT

This Non-Exclusive License Agreement (“Agreement”) is made between:

Licensor (Producer): DopaSounds

Licensee (Artist/Buyer): [Client Name]

Effective Date: [Insert Date]

1. GRANT OF LICENSE

DopaSounds hereby grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the instrumental beat titled:

Beat Title: [Insert Beat Name]

This license permits the Licensee to create one (1) new musical composition (“Song”) using the Beat, subject to the terms outlined below.

2. OWNERSHIP

• The Beat remains 100% owned by DopaSounds at all times.
• This agreement does NOT transfer ownership of the Beat.
• Licensee owns only their vocal recording and lyrics, not the underlying instrumental.

3. PERMITTED USES

Licensee is allowed to:

• Record vocals over the Beat
• Distribute the Song on:
• Streaming platforms (Spotify, Apple Music, Audiomack, etc.)
• Social media platforms (Instagram, TikTok, YouTube)
• Perform the Song live
• Use the Song for promotional purposes
• Monetize the Song within the limits of this license

4. USAGE LIMITATIONS

Unless upgraded to an exclusive license, the Licensee is limited to:

• Streams: Up to 100,000 total audio streams
• Video Views: Up to 50,000 YouTube views
• Downloads/Sales: Up to 2,000 units
• Radio Broadcast: Up to 2 stations (non-major)
• Live Performances: Unlimited (non-ticketed or small-scale events)

If these limits are exceeded, Licensee must upgrade the license or renegotiate terms.

5. CREDIT REQUIREMENT

Licensee must include proper credit in all releases:

“Produced by DopaSounds”

• Must appear in:
• Song metadata
• YouTube descriptions
• Streaming credits (where applicable)

Failure to credit is considered a breach of agreement.

6. CONTENT ID / COPYRIGHT CLAIMS

• DopaSounds reserves the right to register the Beat with Content ID systems.
• Licensee will not receive copyright strikes if usage is within license terms.
• Unauthorized use outside license terms may result in monetization claims or takedowns.

7. PROHIBITED USES

Licensee may NOT:

• Resell, lease, sublicense, or redistribute the Beat
• Claim ownership of the Beat
• Use the Beat in NFTs without written permission
• Use the Beat in defamatory, hateful, or illegal content
• Register the Beat in Content ID systems as their own

8. ROYALTIES & PUBLISHING

This is a royalty-free license for master use, BUT:

• Publishing Split (Recommended Standard):50% DopaSounds (Producer)
• 50% Licensee (Artist)
• Licensee agrees to:
• Register the Song with a PRO (e.g., COSON, BMI, ASCAP)
• Credit DopaSounds as co-writer/producer
• Mechanical royalties from streaming are shared according to publishing splits.

9. YOUTUBE MONETIZATION

• Licensee may monetize videos using the Beat within limits
• DopaSounds retains the right to:
• Monetize the Beat independently
• Place ads if Licensee exceeds usage limits

10. TERM

• This license is perpetual (lifetime use),
• BUT subject to usage limits unless upgraded.

11. TERMINATION

This Agreement may be terminated if:

• Licensee breaches any terms
• Licensee fails to credit DopaSounds
• Licensee exceeds usage limits without upgrading

Upon termination:

• Licensee must remove all distributed content immediately

12. EXCLUSIVE RIGHTS OPTION

DopaSounds reserves the right to:

• Sell the Beat exclusively at any time
• Upon exclusive sale:
• Existing licensees may continue using the Beat under current terms
• No new licenses will be issued

13. WARRANTIES

• DopaSounds warrants that the Beat is original or properly licensed
• Licensee warrants that their use does not violate laws or third-party rights

14. INDEMNIFICATION

Licensee agrees to indemnify and hold DopaSounds harmless from:

• Any claims arising from misuse of the Beat
• Unauthorized use beyond agreed terms

15. GOVERNING LAW

This Agreement shall be governed by the laws of: Federal Republic of Nigeria

16. ENTIRE AGREEMENT

This document represents the full agreement between both parties and overrides any prior discussions.
