This document governs your access to and use of the Course provided by Prodesign Atelier. By accessing or using the Course, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Course.
1. Course Content: The Course content, including but not limited to video lectures, texts, images, and other materials, is provided for educational purposes only. The Course content is the intellectual property of the Prodesign Atelier (i.e "the Provider") and protected by copyright laws and other applicable intellectual property laws.
2. Course Enrolment: To enrol in the Course, you must be at least 16 years old or have the consent of a legal guardian. You agree to provide accurate, complete, and updated information during the enrolment process. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
3. License to Course Content: Subject to your compliance with these Terms, the Provider grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Course content solely for your personal, non-commercial use.
4. Prohibited Conduct: You agree not to:
a. Copy, reproduce, modify, distribute, display, or create derivative works of the Course content without the Provider's prior written consent. b. Use the Course for any illegal, unauthorized, or prohibited purpose. c. Share or disclose your login credentials to access the Course content with third parties. d. Attempt to disrupt or interfere with the Course's functioning, security, or integrity. e. Use any automated means to access or collect information from the Course. f. Engage in any behaviour that may harm the reputation or goodwill of the Provider.
5. Intellectual Property: All intellectual property rights in the Course content, including but not limited to copyrights, trademarks, and trade secrets, belong to the Provider or its licensors. You acknowledge that the Course content is protected by intellectual property laws and international treaties.
6. Modifications and Updates: The Provider reserves the right to modify, update, or discontinue the Course or any part thereof without prior notice. We may also revise these Terms from time to time, and the most current version will be posted on the Course website. Your continued use of the Course after any modifications to the Terms signifies your acceptance of the updated Terms.
7. Disclaimer of Warranties: THE COURSE CONTENT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE PROVIDER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability: IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE COURSE OR YOUR USE THEREOF. THE TOTAL LIABILITY OF THE PROVIDER, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE COURSE.
9. Indemnification: You agree to indemnify, defend, and hold harmless the Provider and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, or expenses arising out of or related to your use of the Course or any breach of these Terms.
10. Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any dispute arising out of or relating to these Terms or the Course shall be subject to the exclusive jurisdiction of the courts in Nigeria.
11. Entire Agreement: These Terms constitute the entire agreement between you and the Provider concerning the Course and supersede all prior and contemporaneous agreements and communications, whether oral or written.
