By engaging Scrite Creative for design services, you agree to these Terms & Conditions. If you don’t agree, don’t proceed with any project.
1. Services & Scope
1.1. We provide brand identity, print, digital, and related graphic design services as described in the quote/proposal you accept.
1.2. The quote defines the deliverables, number of concepts, and included revisions. Any work outside that scope is billable as additional work.
1.3. We reserve the right to refuse work that is illegal, discriminatory, or conflicts with our values.
2. Fees, Deposits & Payment
2.1. A 60% deposit is required before work begins for branding projects. The balance is due before the final files are delivered.
2.2. For subscription/design projects, work will commence only after full payment has been received.
2.3. All prices are in NGN and exclude VAT/taxes unless stated. The client pays bank fees for international transfers/payments.
3. Revisions & Approval
3.1 Each deliverable includes 2 rounds of revisions. A “round” means consolidated feedback on a presented concept.
3.2 Revisions beyond the included rounds are billed at ₦1,000. New concepts after approval of a direction are new projects.
3.3 Work not disputed in writing within 48 hours of delivery is deemed accepted.
4. Client Responsibilities
4.1 You will provide all content, logos, images, brand guidelines, and feedback promptly. Delays on your end extend the project timeline.
4.2 You confirm you own or have rights to all materials you supply and indemnify us against claims arising from their use.
4.3 You are responsible for fact-checking copy, spelling, and legal compliance of the final design.
5. Intellectual Property & Usage Rights
5.1. We retain copyright and ownership of all work until full payment is received.
5.2. Upon full payment, you receive a perpetual, worldwide license to use the final deliverables for the purpose agreed in the quote.
5.3. Unless agreed otherwise, you do not receive source files, working files, or fonts not licensed for transfer. Source files can be purchased separately.
5.4. We retain the right to display completed work in our portfolio, website, social media, and marketing materials unless you request confidentiality in writing before the project starts.
6. Timeline & Delivery
6.1. Timelines start after we receive the deposit and all required materials.
6.2 Delays caused by late feedback, missing content, or changes to scope will shift deadlines.
6.3 Final files are delivered digitally in PNG, JPG, PDF, SVG, and other formats specified in the quote. We are not responsible for color variations across different screens and printers.
7. Cancellation & Termination
7.1. You may cancel with 7 days' written notice. The deposit covers work completed to date and is non-refundable.
7.2. We may terminate if you breach these terms, fail to pay, or request work that violates law or policy. You pay for all work completed up to termination.
7.3. Upon termination, you lose rights to use any incomplete or unpaid work.
8. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the project. This does not apply to information already public or independently developed.
9. Liability & Warranties
9.1. We warrant that final deliverables are original and do not knowingly infringe third-party rights at the time of delivery.
9.2. Our liability is limited to the total amount paid under the specific project. We are not liable for indirect, consequential, or loss-of-profit damages.
9.3. We do not guarantee sales, traffic, or business results from the designs.
10. Disputes & Governing Law
These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria.
11. General
11.1. If any clause is found invalid, the remaining clauses remain in effect.
11.2. We may update these Terms. The version on our website at the time you sign a quote applies to that project.
11.3. BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM
